Effective Date: September 14, 2026
1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the services provided by Northline Visual Media Inc., operating as a videography studio and related production services provider in Canada, including any related website, communications, proposals, contracts, deliverables, and online or offline interactions (collectively, the “Services”).
By requesting, booking, purchasing, or otherwise using the Services, you agree to be bound by these Terms and any written statement of work, estimate, proposal, invoice, or service agreement issued by Northline Visual Media Inc. (collectively, the “Agreement”). If you do not agree to these Terms, you must not use the Services.
If you are entering into the Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity, and “you” and “your” refer to that entity and its authorized representatives.
2. Scope of Services
Northline Visual Media Inc. may provide one or more of the following services, as agreed in writing:
- Corporate videography
- Event coverage
- Brand story videos
- Product demonstration videos
- Social media video content
- Interview and testimonial filming
- Post-production editing
The exact scope, deliverables, timelines, format specifications, revision limits, usage rights, and any additional services will be set out in the applicable Agreement. Any services not expressly included in the Agreement are excluded unless approved in writing and may be subject to additional fees.
Northline Visual Media Inc. may use subcontractors or independent professionals to perform some or all Services, provided that Northline Visual Media Inc. remains responsible for the delivery of the agreed Services subject to these Terms.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and timely information necessary for the provision of the Services;
- Obtain all permissions, releases, consents, permits, location approvals, music licenses, talent releases, and third-party clearances required for your project, unless expressly stated otherwise in writing;
- Ensure that all materials you provide to Northline Visual Media Inc. do not infringe any third-party rights and are lawful to use;
- Cooperate reasonably with scheduling, creative direction, site access, and production requirements;
- Provide safe, lawful, and suitable working conditions at filming locations;
- Ensure that any individuals appearing in footage have consented to be filmed where required by law;
- Not use the Services for unlawful, defamatory, discriminatory, harassing, misleading, or otherwise prohibited purposes.
You are responsible for reviewing and approving deliverables in a timely manner. Delays in feedback, approvals, or required materials may affect delivery timelines and may result in rescheduling fees or additional costs.
You acknowledge that video production may involve artistic judgment and subjective decisions. Unless otherwise agreed in writing, creative direction, style, editing choices, and final output are determined by Northline Visual Media Inc. in its professional discretion.
4. Payment Terms and Conditions
Fees, deposits, payment milestones, expenses, overtime charges, rush fees, travel costs, and taxes will be specified in the applicable Agreement or invoice. Unless otherwise stated in writing:
- A non-refundable deposit or retainer may be required to reserve production dates and begin work;
- Invoices are due on the date specified on the invoice or, if not specified, within fifteen (15) days of issuance;
- All amounts are payable in Canadian dollars unless otherwise stated;
- Applicable taxes, including GST/HST or any other required taxes, will be added where required by law;
- Late payments may be subject to interest at the maximum lawful rate, or if no maximum is specified, at 1.5% per month (18% per annum), calculated monthly on overdue amounts;
- Northline Visual Media Inc. may suspend work, withhold delivery, or cancel bookings if any payment is overdue.
You are responsible for all reasonable out-of-pocket expenses incurred in connection with the Services if pre-approved in writing or included in the Agreement, including location fees, talent costs, permits, equipment rentals, travel, parking, and storage media.
If a chargeback, payment reversal, or disputed payment is initiated without a good-faith contractual basis, Northline Visual Media Inc. may charge administrative fees and recover collection costs to the extent permitted by law.
5. Cancellation and Refund Policy
Cancellations must be made in writing. The following policies apply unless the Agreement states otherwise:
- If you cancel a project after booking, the non-refundable deposit or retainer will be retained by Northline Visual Media Inc.;
- If cancellation occurs after pre-production work has begun, you may be responsible for all work completed and expenses incurred up to the cancellation date;
- If cancellation occurs within a short-notice period before a scheduled shoot, additional cancellation fees may apply to compensate for reserved time, staffing, and lost booking opportunities;
- If a project is postponed, rescheduling is subject to availability and may require a rescheduling fee;
- No refunds will be issued for completed Services, delivered work, or approved milestones except where required by applicable law or expressly stated in writing.
If Northline Visual Media Inc. cancels a project for reasons within its control, any unearned portion of amounts paid for undelivered Services will be refunded, less any non-refundable deposits, completed work, committed third-party costs, and non-recoverable expenses.
Force majeure events, client delays, unsafe conditions, unlawful filming restrictions, or failure to obtain required permissions are not grounds for a refund except as expressly agreed in writing or required by law.
6. Liability Limitations
To the fullest extent permitted by applicable Canadian law, Northline Visual Media Inc., its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business opportunity, reputational harm, data loss, or business interruption, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, the total aggregate liability of Northline Visual Media Inc. arising out of or relating to any Service, whether in contract, tort, negligence, strict liability, or otherwise, shall not exceed the amount actually paid by you to Northline Visual Media Inc. for the specific Service giving rise to the claim in the six (6) months preceding the event giving rise to liability, unless a different limit is required by law.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or gross negligence where such limitation is prohibited.
You are solely responsible for reviewing and approving all deliverables before publication or distribution. Northline Visual Media Inc. is not responsible for errors, omissions, or issues arising from client-approved content or from content altered by you or any third party.
7. Intellectual Property Rights
Unless otherwise agreed in writing, Northline Visual Media Inc. retains ownership of all pre-existing materials, methods, workflows, templates, raw footage, project files, editing presets, technical processes, and creative tools used to produce the Services.
Upon full payment of all amounts due, and subject to any applicable third-party rights, Northline Visual Media Inc. grants you a non-exclusive, non-transferable, non-sublicensable license to use the final delivered videos for the purposes and territory specified in the Agreement. If no usage scope is specified, the license is limited to your internal business and promotional use in the ordinary course of business.
Raw footage, project files, unedited materials, source assets, and working files are not included unless expressly stated in writing. Any transfer of ownership or expanded licensing rights must be agreed in writing and may require additional fees.
You warrant that any materials, logos, trademarks, music, scripts, images, or other content supplied by you are either owned by you or properly licensed for use in the project, and you grant Northline Visual Media Inc. the necessary rights to use such materials solely for the purpose of providing the Services.
Northline Visual Media Inc. may, unless otherwise agreed in writing, display non-confidential portions of completed work for portfolio, website, social media, award submissions, sales presentations, and marketing purposes, provided such use is lawful and does not disclose confidential client information. You may request a reasonable written restriction where confidentiality or sensitivity applies.
8. Data Protection and Privacy
Northline Visual Media Inc. is committed to handling personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.
Personal information may be collected, used, and disclosed for purposes including:

- Managing client relationships and records;
- Meeting legal, accounting, and tax obligations;
- Protecting the rights, property, and safety of Northline Visual Media Inc., clients, and third parties.
By using the Services, you consent to the collection, use, and disclosure of personal information as reasonably necessary to perform the Services and as otherwise described in any privacy notice provided by Northline Visual Media Inc.
You are responsible for obtaining any required consents from individuals appearing in recorded content, including employees, attendees, guests, speakers, or customers, where necessary under applicable law.
Northline Visual Media Inc. will take reasonable safeguards appropriate to the sensitivity of the information. However, no method of electronic storage or transmission is completely secure, and Northline Visual Media Inc. cannot guarantee absolute security.
9. Force Majeure
Northline Visual Media Inc. shall not be liable for any delay, failure, or interruption in performing the Services due to events beyond its reasonable control, including but not limited to acts of God, severe weather, fire, flood, earthquake, pandemic, epidemic, labour disputes, power outages, internet failures, supply chain disruptions, government actions, permit denials, site closures, civil unrest, terrorism, war, or failures of third-party vendors.
In such circumstances, timelines may be extended and Services may be rescheduled or modified. If a force majeure event substantially prevents performance, the parties will work in good faith to find a reasonable solution, which may include postponement, revised deliverables, or termination of the affected portion of the Services on fair commercial terms.
10. Changes to Terms
Northline Visual Media Inc. may update or modify these Terms from time to time to reflect operational, legal, or regulatory changes. The revised Terms will apply to new bookings and, where permitted by law, to ongoing Services after notice of the changes.
The date of the latest revision will be indicated at the top of these Terms or in the notice provided. Continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms.
11. Applicable Law and Jurisdiction
These Terms and any dispute arising out of or relating to them, the Services, or the Agreement shall be governed by and interpreted in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
The parties irrevocably submit to the exclusive jurisdiction of the courts located in British Columbia, Canada, subject to any mandatory consumer protection or other rights that cannot be waived under applicable law.
Nothing in these Terms limits any statutory rights you may have under applicable Canadian consumer protection, privacy, or other mandatory laws.
